End-User License Agreement (EULA)

DirectiveHR Products & Templates

Effective Date: February 8, 2025

This End-User License Agreement ("Agreement") constitutes a binding legal contract between you (whether acting as an individual or as a corporate entity), referred to herein as the "Licensee," and DirectiveHR, identified as the "Licensor." This Agreement governs the terms of your utilization of all digital Human Resources offerings—including but not limited to products, templates, policies, guides, or any downloadable or disseminated content (collectively referred to as "Products")—acquired from DirectiveHR via any channels, which may include our official website, Shopify, Etsy, affiliate referrals, or various social media platforms.

1. License Grant

DirectiveHR grants you a non-exclusive, non-transferable, and non-sublicensable license to utilize the acquired Products solely within your own business or organization. You are permitted to make modifications to the Products to accommodate your internal requirements.

2. Permitted Use

The Products may be:

  • Downloaded and stored by the Licensee.
  • Customized or edited to suit the internal HR practices of the Licensee's company.
  • Used solely within the Licensee's company for internal operational, compliance, or training purposes.

3. Prohibited Use

You may NOT:

  • Share, sell, sublicense, distribute, publish, or make available the Products (in original or modified form) to any third party or external company.
  • Use the Products for any commercial resale, template resale, or inclusion in services provided to other companies or clients.
  • Claim authorship or intellectual ownership of the Products or their contents.

4. Ownership and Intellectual Property

All Products are the intellectual property of DirectiveHR. The Licensee acknowledges and agrees that they are granted a limited license to use the Products and that DirectiveHR retains full ownership and copyright over all Products, regardless of modification by the Licensee.

5. Term and Termination

This license takes effect upon purchase and remains valid indefinitely unless terminated. DirectiveHR retains the authority to revoke this license at any point if the Licensee is deemed to be in violation of this Agreement. Upon termination, the Licensee is required to discontinue all usage and eliminate any copies of the Products.

6. No Warranty

The Products are delivered on an "as-is" basis, devoid of any warranties, whether express or implied. This includes, but is not limited to, implied warranties of merchantability, suitability for a specified purpose, or non-infringement of third-party rights. DirectiveHR does not guarantee that the Products will satisfy your organization's specific legal or compliance requirements.

7. Limitation of Liability

DirectiveHR disclaims all liability for any damages that may occur, including but not limited to loss of profits, loss of savings, or any indirect or consequential damages, resulting from the use or inability to utilize the Products. This applies even if DirectiveHR has been made aware of the potential for such damages.

8. Legal Disclaimer

DirectiveHR offers a suite of HR templates, policies, and tools designed to function as a general resource for organizations. However, these materials do not constitute legal advice.

We strongly advise users to engage independent legal counsel to review and customize any resources to ensure adherence to relevant local, provincial, and federal regulations pertinent to their specific business or sector. 

The utilization of these products is entirely at the discretion and risk of the Licensee.

9. Governing Law

This Agreement shall be governed by and construed by the laws of the Province of Ontario, Canada, without regard to conflict of law principles. Any legal action or proceeding arising under this Agreement shall be brought exclusively in the courts in Ontario.

10. Entire Agreement

This Agreement constitutes the entire Agreement between the Licensee and DirectiveHR regarding the Products and supersedes all prior or contemporaneous understandings, communications, or agreements, whether written or oral.

11. Acceptance of Terms

By purchasing, downloading, accessing, or using any DirectiveHR product, you acknowledge that you have read, understood, and agree to be bound by the terms and conditions outlined in this End-User License Agreement.

If you do not agree to these terms, you must not use or access the products provided by DirectiveHR.
